Cooper-Standard Automotive Signs Definitive Purchase Agreement to Acquire Certain Operations of Metzeler Automotive Profile Systems in Europe and Asia NOVI, Mich., June 14 /PRNewswire/ -- Cooper-Standard Automotive Inc. today announced it has signed a definitive sale and purchase agreement with Automotive Sealing Systems S.A. providing for the acquisition by Cooper- Standard of Metzeler Automotive Profile Systems (MAPS) sealing systems operations in Germany, Italy, Poland and Belgium, including joint venture interests in India and China, in accordance with the previously announced Memorandum of Understanding between the parties. The transaction, which is valued at approximately euro 100 million, is subject to certain conditions including regulatory approvals, and is expected to close in the third quarter of 2007. Cooper-Standard's principal shareholders, Goldman Sachs Capital Partners and The Cypress Group, will invest a total of euro 20 million of new equity in Cooper-Standard as part of the financing of the acquisition. The MAPS operations to be acquired include eight manufacturing facilities in Europe and participations in joint ventures in India and China. The consolidated annual sales of these businesses were approximately US $400 million in 2006. Fiat, BMW, Daimler and Volkswagen Group are among the largest customers of the businesses being acquired. Unity Ride: Riders Go Coast-to-Coast to Support Disabled Veterans PAWTUCKET, R.I., June 14 /PRNewswire-USNewswire/ -- Starting here June 27, motorcyclists will begin a 21-day, 6,000-plus mile coast-to-coast journey to raise funds for America's disabled veterans and their families. The Unity Ride was conceptualized by Vietnam veterans and childhood friends Greg Offringa and Chick Luther. They said riders will have the opportunity to show their support for wounded veterans returning from Iraq and Afghanistan as well as others who've sacrificed for their country through military service. Funds generated along the journey and at stops at 16 Harley-Davidson dealerships will be made directly to Disabled American Veterans (DAV) and are tax-deductible. "We don't see this as a single event, but rather an event that will take place yearly to show our financial support for disabled American veterans and their families. We want this to be part of a movement. We want to plant a seed in peoples' minds and get them thinking about ways they can support our nation's veterans year-round," said Offringa, a clinical psychologist who has provided psychotherapy for veterans for more than three decades. "We've encouraged the leadership in the motorcycle community to step up for the deserving men and women who've served and are going to need our help for many years to come. We've asked them to take the initiative and organize events in their own communities. The goal is to raise awareness and funds - and to do that, we've asked everyone to pitch in and join the cause," said Luther. Harley-Davidson dealers and riders at every stop are organizing events in support of The Unity Ride. Dealerships will provide information to the media and supporters of this event, organize with local veterans and civic groups and even provide vehicle maintenance support to The Unity Riders. That's what the magazine ads proclaimed 50 years ago in announcing the all-new 1957 Plymouth. With its new highly-acclaimed Torsion-Aire front suspension, push-button Torqueflite automatic transmission and soaring tail fins, the 1957 Plymouth was advertised as "Three Full Years Ahead" of its competition in the low- priced field -- "the only car to break the time barrier." Now, suddenly it's 2007, and the 1957 Plymouth will re-emerge as part of TULSARAMA, the City of Tulsa's celebration of the 100th anniversary of Oklahoma statehood. On Friday, June 15, the city will unearth a 1957 Plymouth Belvedere buried in a time capsule in front of the county courthouse in downtown Tulsa 50 years ago. The vehicle will belong to the person (or heir) who in 1957 came closest to guessing the city's population in 2007. (The next opportunity to see a Plymouth emerge from the ground in Tulsa will be in 2037, when the city will unearth a 1997 Prowler buried in Centennial Park as part of a celebration of the city's founding.) The revolutionary design of the 1957 Belvedere was appropriate for the Tulsa time capsule: Oklahoma Golden Jubilee chairman W.A. Anderson declared the finned Plymouth had "the kind of lasting appeal that should be in style 50 years from now." This revolutionary Plymouth was the work of the styling team assembled in the early 1950s by famed designer Virgil Exner, notes Chrysler senior designer and design historian Jeffrey Godshall. Hired from Studebaker in 1949, Exner first explored new directions in styling through a series of concept cars -- or as Exner called them, "idea cars." This tradition of concept cars continues with today's Chrysler. After a spate of innovative "idea cars" such as the 1951 Chrysler K310 and the 1953 Chrysler d'Elegance, Exner was given responsibility for the styling of the company's production cars. His first advanced designs in 1955 -- referred to as The Forward Look -- were followed by the "Flight Sweep" cars of 1956, marking the first time an automobile manufacturer applied fins to its entire line of vehicles. With even larger towering fins, the '57 Plymouth was a stunner, Godshall said. The extreme lowness of the car, its light-looking roof supported by thin pillars and the big fins gave the exciting new Plymouth the wedge-shaped silhouette that Exner and his staff were looking for -- the same shape used in military aircraft, Gold Cup racing boats and ballistic missiles. And the fins were functional as well. Contemporary wind tunnel testing proved they reduced the need for steering corrections in strong crosswinds. The new '57s were enthusiastically embraced by a buying public who saw the big fins as a symbol of a future of carefree living, Godshall said. The combination of advanced styling, Torsion-Aire ride and Torqueflite transmission enabled Plymouth to recapture its status among the leaders in auto industry sales. The big-finned '57 cars established Chrysler -- long known for its pioneering engineering -- as a style leader as well. This tradition of design leadership was recaptured during the 1990s under design Chief Tom Gale, resulting in innovative vehicles such as the cab- forward design of the Chrysler Concorde and companion sedans. That leadership in design continues today under the direction of Trevor Creed, Senior Vice President, Product Design Office which has produced a new generation of revolutionary designs such as the Chrysler 300 sedan. Pennsylvania Auditor General Jack Wagner Urges General Assembly to Approve Random Octane Testing Bill Immediately HARRISBURG, Pa., June 14 /PRNewswire-USNewswire/ -- Responding to recent consumer complaints of tainted gasoline in eastern Pennsylvania, Auditor General Jack Wagner today called on the General Assembly to immediately require random testing of gasoline for quality. Noting that Pennsylvania is one of only four states that does not test the octane rating of gasoline sold at retail outlets, Wagner said, "With gasoline prices at or near all-time highs at the start of the busy vacation season, the state must make sure that drivers are getting fuel with the proper octane rating, that's free of water, silt or other contaminants." Wagner called on the General Assembly to approve House Bill 684 before it recesses for the summer. The bill would require the Department of Agriculture to begin random octane testing by July 1. The Department of the Auditor General recommended in January that the Department of Agriculture begin octane testing. The recommendation came after Wagner issued an audit of the Department of Agriculture's Bureau of Ride and Measurement Standards, which is responsible for gas pump inspections. The audit found that 20 percent of the gas stations under state jurisdiction had at least one pump that had not been inspected for quantity distribution in more than a year, and that no pumps had been checked for octane since 1999. Wagner said there have been at least five reported cases of tainted gasoline in eastern Pennsylvania in the past five months. According to the Department of Agriculture, which is responsible for gas-pump inspections, there were two reported incidents of tainted gas in Montgomery County in April; two in Monroe County, in February and May; and one in Northampton County in January. In addition, a Scranton television station reported in May that two of three samples of premium gasoline that it collected from three different gas stations, in Luzerne and Schuylkill counties, were found to have lower octane ratings than their posted rating of 93. "These may be isolated cases, or signs of a wider consumer concern, but we can't know for sure unless the state begins octane testing," Wagner said. Under current law, the Department of Agriculture is required to annually inspect gas pumps under its jurisdiction. However, the law does not require octane testing. Wagner said that octane levels are becoming increasingly important because more vehicles are requiring premium fuel for their engines. "Motorists have a right to know that the octane they are paying for is the octane they are receiving," said Ted Leonard, executive director of Pennsylvania AAA Federations, which supports testing of gasoline quality. "Moreover, bad gasoline has caused extensive vehicle damage." In the Montgomery County cases, one involved a report of contaminated/cloudy gas and the other claimed water in the fuel. In Northampton County, a motorist complained that fuel contaminated with metal caused $1,000 in damage to his engine. In Monroe County, a motorist reported purchasing bad gas that caused the vehicle to shake. "The commonwealth's failure to randomly test octane ratings raises legitimate concerns about whether Pennsylvania drivers are getting what they pay for, especially those who are purchasing fuel with higher octane ratings," Wagner said. "The General Assembly should protect consumers by requiring the Agriculture Department to begin testing immediately." Maine Allows Continued Use of the Flame Retardant Deca State exempts most uses of safe, highly-effective flame retardant WASHINGTON, June 14 /PRNewswire-USNewswire/ -- Later today, the state of Maine will enact legislation that allows for continued use of the highly- effective flame retardant known as Deca in the utility, automobile and semiconductor industries, each of which is vital to the state's economy. "While we are disappointed that the legislature is limiting the use of Deca in some home furnishing materials and consumer electronics, both of which present fire risks, it is important to note that numerous key uses will be exempted by the state of Maine," said Dr. Michael Spiegelstein, chairman of the Bromine Science and Environmental Forum (BSEF).
